Terms of Use
These terms are an agreement between you (the shop owner or app user) and Nguyễn Thanh Hải, developer of Kivo (“we”), for the use of the Kivo app on all platforms, Kivo Pro and the related online services. By installing or using Kivo you agree to these terms and to the Privacy Policy. The Vietnamese version (Điều khoản sử dụng) prevails if the two differ.
1. What Kivo is
Kivo is point-of-sale and management software for grocery stores: selling, receipts, VietQR codes, products, stock, debts, cash book, reports, tax books and related features. Kivo is a record-keeping tool; it is not an accounting, tax advisory, banking or payment service.
2. Licence
We grant you a non-exclusive, non-transferable licence to use Kivo for your store's business on devices you own or control. You may not: reverse engineer, modify or remove licence checks from the app; resell or rent it; use it to break the law; attack, probe or overload the servers; or use automation to exceed usage limits.
Open-source libraries in the app are under their own licences, listed in the app under Settings → Giới thiệu.
3. Accounts
The free version needs no account. When you create one, you provide a valid email and keep your password, staff PINs and recovery code secret. The owner is responsible for the permissions given to staff and for all actions taken with the store's account and devices.
4. Free version and Kivo Pro
The free version can be used indefinitely on one device. Kivo Pro is a yearly plan per store including 3 devices; extra devices can be added. Current features and prices are published in the app and on the Pricing page; prices may change but not for a period you have already paid.
When Pro expires you can still sell and view your records on the device; only Pro features pause until renewal. Some AI features have daily usage limits.
5. Payment and refunds
Kivo Pro is paid by bank transfer using the VietQR code shown in the app, or with an activation code we provide. Pro does not renew automatically and never charges you automatically. Pro belongs to the store on the sync account: deleting the account forfeits any remaining time, without refund.
Activated plans are not refundable, except when you transferred by mistake or too much, or we cannot provide Pro features because of our fault and cannot fix it within a reasonable time. In those cases contact hai2571998@gmail.com within 30 days of payment for a proportional refund.
If Kivo is sold through the App Store or Google Play, payment and refunds for that purchase follow Apple's or Google's policies.
6. Your data
The store data you enter belongs to you. You allow us to store, copy and process it only to provide the service to you, as described in the Privacy Policy. You can export and delete it at any time.
Data mainly lives on your devices. You are responsible for backups (Settings → Sao lưu & khôi phục) and device security; we cannot recover data that existed only on a lost, broken or uninstalled device.
When you enter data about customers, suppliers or staff, you confirm you are entitled to do so and have informed them or obtained their consent where the law requires.
7. Your contributions
While shared catalog contributions are on, you allow us to use the product name, brand, size, units, barcode and your own product photo sent by the app, to review and publish them in the sample catalog for all stores. Approved photos are published under CC BY-SA 4.0, credited “Cửa hàng dùng Kivo”, without the store's name. You confirm the photos are yours and infringe no one's rights. You can turn contributions off in Settings.

8. AI features, tax and figures
Product recognition, invoice reading, voice, price suggestions, promotion suggestions and AI assistant answers can be wrong. Check them before saving; you are responsible for your prices and amounts collected.
Tax books, tax estimates and templates in Kivo are for reference only, based on the rules we were able to track; they do not replace advice from the tax authority or a tax agent. You are responsible for your own tax filings, payments and invoices.
VietQR codes are generated from the account you enter. Confirm money has arrived before handing over goods. Kivo is not a bank or payment intermediary and does not check the store's bank accounts itself. When you turn on automatic transfer confirmation, Kivo completes sales based on the transaction notifications SePay or APIBank sends; we do not guarantee that SePay, APIBank or the bank report correctly, completely or on time, and are not liable for losses caused by wrong, late or missing notifications. Reconcile with your bank statement regularly. You use SePay and APIBank under the store's own terms with each service. APIBank describes itself as being in testing; keep that in mind when choosing it.
9. Online services
We try to keep sync, AI and the shared catalog running reliably but do not promise uninterrupted or error-free service. We may maintain, change or discontinue an online feature; if we permanently discontinue a Pro feature you have paid for, we will give notice and refund the corresponding part. Selling on the device does not depend on the servers.
10. Limitation of liability
Kivo is provided “as is”. To the extent permitted by law, we are not liable for indirect damages, lost profits, data loss due to missing backups, or damage from relying on AI output, tax estimates or figures you entered incorrectly. Our total liability to you will not exceed the amount you paid for Kivo in the 12 months before the event. This does not limit your rights under consumer protection law.
11. Termination
You may stop using Kivo and delete your account at any time, right in the app (Settings → Đồng bộ & tài khoản). We may suspend or terminate accounts that seriously breach these terms (e.g. attacking servers, payment fraud, unlawful use), with notice where possible. Data on your devices remains after termination.
12. App Store terms
If you downloaded Kivo from Apple's App Store:
- These terms are between you and us, not Apple. Apple is not responsible for the app or its content.
- The licence in section 2 is limited to Apple devices you own or control, as permitted by the Usage Rules in the App Store Terms of Service.
- Apple has no obligation to maintain or support the app. Send support requests to us.
- If the app fails to conform to an applicable warranty, you may notify Apple for a refund of the purchase price (if any); Apple has no other warranty obligation.
- We, not Apple, are responsible for addressing your or third-party claims relating to the app, including intellectual property claims.
- You represent that you are not located in an embargoed country and are not on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
13. Governing law
These terms are governed by the laws of Vietnam. Disputes are first resolved by negotiation; failing that, by a competent court in Vietnam.
14. Changes
When we change these terms we update the effective date at the top and announce important changes in the app. Continuing to use Kivo after the effective date means you accept the new terms.
